『摘要』
引言由于我国当时正处于社会主义市场经济发展的初级阶段，市场发育程度较低，管理法规还不够完善，再加上交易过程中存在很大程度的信息不对称性，直销人员也具有分散性的特点，直销逐渐演变成了各种形式的传销活动。制定一部能够使消费者的权益得到充分保障，既符合我国国情，而又内外一致的直销法规，对直销业正确引导、趋利避害、稳步开放、规范发展，成为当前重要的艰巨任务。两条例的颁布对直销业确立了较为严格的监管制度。这一方面有利于保障消费者的合法权益；另一方面，也有利于直销业的发展。严格的监管制度可以尽量减少违法行为的出现，而只有合法经营，直销业的发展才能获得良好的外部环境，从而走上持续、健康发展的良性发展道路。

Two rules promulgating have established the stricter supervising and managing system to the direct sale industry. This on the one hand is advantageous in safeguards consumer's legitimate rights and interests; On the other hand, also is advantageous to the direct sale industry development. The strict supervising and managing system may reduce the illegal activity as far as possible the appearance, but only then legitimately manages, the direct sale industry development can obtain the good external environment, thus steps onto continues, the healthy development benign development path.

一、 直销和传销的历史根源
直销是众多现代经销模式中的一种，可以有效地降低企业的运营成本，对促进商品流通的发展起着积极推动作用。这种经销模式最早起源于美国。之后传入欧洲、日本等其他国家和地区。上世纪90年代初，一些国外直销公司开始进入我国。由于我国当时正处于社会主义市场经济发展的初级阶段，市场发育程度较低，管理法规还不够完善，再加上交易过程中存在很大程度的信息不对称性，直销人员也具有分散性的特点，直销逐渐演变成了各种形式的传销活动。一些不法的单位和个人打着“快速致富”的旗号，诱骗群众参与传销，利用虚假宣传、组成封闭人际网络，收取高额入门费等手段敛取钱财，还有一些人利用传销从事迷信、帮会、价格欺诈、推销假冒伪劣产品等违法犯罪活动，不仅干扰了正常的经济秩序，严重损害人民群众的利益，还严重影响了我国的社会稳定。
直销这种经销方式进入我国的时间不长，公众对直销的认识也还存在着一定程度的偏差，区别合法直销和非法传销的能力相对薄弱。制定一部能够使消费者的权益得到充分保障，既符合我国国情，而又内外一致的直销法规，对直销业正确引导、趋利避害、稳步开放、规范发展，成为当前重要的艰巨任务。
